Terms of Service

By downloading, installing, creating an account, or otherwise accessing or using the Zenith application or any Zenith website, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated here by reference. These Terms constitute a legally binding agreement between you and Zenith Fitness.

We reserve the right to update or modify these Terms at any time at our sole discretion. Continued use of the Service after any such changes constitutes your acceptance of the new Terms. For material changes we will endeavour to notify users via the app or email; however, it is your responsibility to review these Terms periodically. The "Last updated" date at the top of this page always reflects the most recent version.

You must be at least 13 years of age to use the Service. By using Zenith, you represent and warrant that:

• You are at least 13 years old.
• If you are between 13 and the age of legal majority in your jurisdiction, a parent or legal guardian has reviewed these Terms and consented to your use of the Service on your behalf.
• Your use of the Service does not violate any applicable law or regulation in your jurisdiction.
• All information you provide to us is accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update it as necessary.

If you are under 13, you may not use the Service. We do not knowingly collect information from individuals under 13. If we discover that a user is under 13, we will terminate that account and delete associated data without notice.

To access certain features of the Service, you may create a registered account using your email address, Apple Sign-In, or Google Sign-In. The Service also supports anonymous access using a device identifier ("anonymous account") for limited functionality. When creating or using any account, you agree to:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information to keep it accurate.
• Keep your credentials, passwords, and authentication tokens secure and confidential.
• Notify us immediately of any unauthorised access to, or suspected compromise of, your account.
• Accept full responsibility for all activities that occur under your account.
• Not create multiple accounts for the purpose of circumventing restrictions, exploiting promotions, or abusing free-tier access.

Anonymous accounts are associated with your device identifier. Zenith bears no responsibility for data loss if you uninstall the app, reset your device, or fail to convert an anonymous account to a registered account before such events.

We reserve the right to suspend, restrict, or permanently terminate your account at our sole discretion, including for violations of these Terms, suspected fraud, conduct we determine to be harmful to other users or the Service, or any reason we deem appropriate, with or without prior notice.

Zenith grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial fitness and wellness purposes, subject to these Terms. You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any part of the Service without our prior written consent.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the application or its underlying AI models.
• Attempt to gain unauthorised access to any systems, databases, or networks connected to the Service.
• Use automated scripts, bots, crawlers, scrapers, or other automated means to access the Service or extract data.
• Interfere with or disrupt the integrity, security, or performance of the Service.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Upload, transmit, or otherwise make available content that is unlawful, harmful, threatening, defamatory, obscene, or otherwise objectionable.
• Use the Service for any commercial purpose, including resale, without our prior written consent.
• Probe, scan, or test the vulnerability of the Service or circumvent any security or authentication measures.
• Create or use accounts to abuse free trials, promotional pricing, or referral programmes.

Zenith reserves the right to investigate and take appropriate action against any violations of this Section, including removing content, suspending or terminating accounts, and reporting to law enforcement.

IMPORTANT: Zenith is a fitness and nutrition information tool, not a medical service, clinical tool, or regulated health application. All content, workout plans, nutrition guidance, adaptive coaching, and other information provided through the Service are for general informational and educational purposes only and do not constitute medical advice, diagnosis, or treatment.

Consult a professional before starting. Before beginning any exercise programme, modifying your diet, or acting on any recommendation made by the Service, you should consult a qualified healthcare professional, licensed physician, certified personal trainer, or registered dietitian — particularly if you have or suspect you may have any medical condition, physical limitation, chronic illness, injury, or are pregnant or postpartum.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE AND ANY EXERCISE OR NUTRITION PLAN IS ENTIRELY AT YOUR OWN RISK. ZENITH EXPRESSLY DISCLAIMS ANY AND ALL RESPONSIBILITY FOR ANY INJURY, ILLNESS, ADVERSE HEALTH OUTCOME, OR OTHER HARM — DIRECT OR INDIRECT — ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON ANY INFORMATION PROVIDED BY IT.

• AI-generated workout plans and meal plans are algorithmically produced and are not reviewed by certified professionals on a per-user basis prior to delivery.
• Adaptive coaching decisions (plan adjustments, load changes, skip logic) are made by automated systems based on self-reported data you provide; they may not reflect your true physiological state.
• Photo-based meal analysis provides AI-estimated nutritional values only — accuracy is not guaranteed and will vary by image quality, food type, and portion visibility.
• Check-in voice and text interpretation is performed by AI; responses may not account for all nuances of your individual circumstances.
• No real-time form correction, camera-based biomechanical assessment, or live supervision is provided.
• Exercise intensity, volume, and progression recommendations are based solely on self-reported inputs and may not be appropriate for your individual health status.
• Apple Health data used by the Service is as accurate as the underlying source and is not independently verified by Zenith.

Zenith makes extensive use of artificial intelligence and large language models, including third-party APIs, to generate workout programmes, meal plans, coaching responses, adaptation decisions, and other personalised content ("AI Content"). You acknowledge and agree that:

• AI Content is generated dynamically and may contain errors, omissions, or recommendations unsuitable for your specific circumstances.
• AI Content does not represent the opinion of a certified professional and should not be treated as professional advice.
• We do not warrant the accuracy, completeness, or fitness for purpose of any AI Content.
• AI models may occasionally produce inconsistent, unexpected, or nonsensical output; Zenith is not liable for any such outputs.
• You are responsible for exercising your own judgement when acting on AI Content.
• We may update, replace, retrain, or discontinue the AI models that power the Service at any time without notice.

Aggregated, anonymised, and de-identified data derived from user interactions may be used to evaluate and improve the quality of AI outputs within the Service. No raw personal data is used to train third-party foundational models without your explicit consent.

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, images, audio, video, software, AI models, training data, and underlying infrastructure — are the exclusive property of Zenith Fitness or its licensors and are protected by applicable intellectual property laws.

You are granted no intellectual property rights in the Service beyond the limited licence described in Section 4. The Zenith name, logo, and all related marks, names, and slogans are trademarks of Zenith Fitness. You may not use these marks without our prior written consent.

Any feedback, suggestions, or ideas you submit regarding the Service may be used by us freely and without compensation or attribution to you.

The Service may allow you to submit, upload, or share content including workout data, session notes, check-in messages, meal photos, and profile information ("User Content"). You retain ownership of your User Content, but by submitting it you grant Zenith a worldwide, royalty-free, perpetual, irrevocable, sub-licensable licence to use, process, store, display, reproduce, and create derivative works from your User Content solely to operate, maintain, improve, and provide the Service.

You represent and warrant that your User Content does not infringe any third-party intellectual property rights, privacy rights, or applicable laws. We reserve the right to remove any User Content at our sole discretion and without notice.

If you choose to connect Zenith with Apple Health, you acknowledge and agree that:

• Health data read from or written to Apple Health is governed by Apple's Terms of Service and your Apple Health privacy settings.
• You control which data types are shared via the Apple Health permissions screen at all times.
• Zenith operates fully without Apple Health access — granting permissions is entirely optional.
• We will not sell, share, or commercialise your Apple Health data with third parties for advertising or data-brokering purposes.
• The accuracy of health data provided to the Service is dependent on the source device and underlying Apple Health integrations.
• Revoking Apple Health permissions within iOS Settings will immediately stop Zenith from accessing new data; previously synced data may be retained in your Zenith account until you request deletion.

Zenith offers free and premium subscription tiers. If you purchase a premium subscription or redeem a promotional offer:

• Subscriptions are billed on a recurring basis (weekly, monthly, or annual) at the price stated at the time of purchase.
• You authorise the relevant payment processor (Apple App Store or Google Play Store) to charge your payment method on file for applicable fees.
• Subscriptions automatically renew at the same price for an equivalent period unless you cancel at least 24 hours before the end of the current billing period through your device's subscription management settings (iOS: Settings → Apple ID → Subscriptions). Your account will be charged for renewal within 24 hours prior to the end of the current period.
• All billing and refund queries are handled in accordance with Apple App Store or Google Play Store policies, as applicable. Zenith does not process refunds directly.
• We reserve the right to change pricing, plan contents, or available tiers at any time with reasonable notice. Continued use after a price change constitutes acceptance.
• Promotional pricing, discount codes, and free trial offers are issued at our discretion, are non-transferable, may not be combined with other offers, and may be revoked if we suspect abuse.
• Free trials automatically convert to paid subscriptions at the end of the trial period unless cancelled beforehand.
• Subscription benefits are non-refundable and non-transferable once consumed.

Current pricing and available subscription plans will be clearly communicated within the app prior to purchase. Subscription management is handled through your device's native platform account settings.

We aim to provide reliable, high-quality access to the Service; however:

• We do not guarantee that the Service will be available at all times or free from interruption, errors, or loss of data.
• We reserve the right to modify, suspend, or discontinue any feature, component, or the entire Service — temporarily or permanently — with or without notice.
• We may perform maintenance, updates, or changes that temporarily affect access or functionality.
• We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
• Features described in marketing materials, the app store listing, or on our website are subject to change.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENITH FITNESS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, PHYSICAL INJURY, HEALTH HARM, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to defend, indemnify, and hold harmless Zenith Fitness and its affiliates, officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, liabilities, damages, losses, judgements, penalties, fines, costs, and expenses — including reasonable legal and accounting fees — arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or the rights of any third party; or (e) any injury or harm arising from your participation in any exercise or nutrition plan generated by the Service.

We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice, effective immediately. Grounds for termination include, without limitation, violation of these Terms, fraudulent activity, prolonged inactivity, or circumstances where continued access would harm Zenith, other users, or third parties.

You may terminate your account at any time by using the account deletion feature within the app settings or by contacting us. Upon termination, your right to use the Service ceases immediately. We are not obligated to refund any prepaid subscription fees upon termination for cause.

Sections 6, 7, 8, 12, 13, 15, and 16 of these Terms shall survive any termination or expiration.

Zenith shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, government action, war, terrorism, labour disputes, power outages, internet or infrastructure failures, third-party service outages (including AI API providers, cloud infrastructure providers, or payment processors), or any other event outside our reasonable control.

These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service — including questions about their existence, validity, or termination — shall be resolved exclusively by binding individual arbitration, and not in any court, except as otherwise specified below.

Class action waiver: You and Zenith each agree to bring claims only in your individual capacity and not as a plaintiff or class member in any purported class action, collective action, or representative proceeding. You waive any right to a jury trial.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or unauthorised access to the Service.

If any provision of this arbitration clause is found unenforceable, the remaining provisions shall remain in full force and effect.

Entire agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Zenith regarding the Service and supersede all prior agreements.

Severability: If any provision of these Terms is found invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely, including in connection with a merger, acquisition, or sale of all or substantially all of our assets.
